Terms of Service

1. What Repleo is (and is not)

Repleo operates an online directory and scheduling service that helps EV drivers find privately owned residential driveways with charging equipment, and helps owners of those driveways ("Hosts") publish their availability. Repleo is not a charging network, payment processor for utilities, energy reseller, broker, insurance provider, or party to any transaction or interaction between a Driver and a Host. Every charging session, every payment for electricity, and every interaction at the property happens directly between the Driver and Host, off-platform.

2. Eligibility & accounts

You must be 18 or older, legally able to enter a contract, and use a real identity. Hosts must verify their identity through our identity provider before listing a driveway. Drivers must verify their identity before requesting a connection.

3. Subscriptions and pricing

Repleo offers a Driver Pass in two cadences: $4.99/month or $29.99/year. Your card is charged immediately at checkout for the cadence you select, and the pass renews automatically at the end of each billing period unless you cancel. There is no free trial, no deferred first charge, and no per-connection fee. Hosts: Listing a driveway, managing your calendar, and accepting connections is completely free. There is no Host Pass, no subscription, no per-connection fee, and no cap on how many connections you can accept.

4. Account creation & browsing

Creating a Repleo account and browsing the map and driveway listings is free and requires no payment method. A Driver Pass is only required to request and confirm a connection with a host. Active Driver Pass subscribers have unlimited connections during their billing period — there is no monthly cap.

5. Host listings & payment handles

Hosts may publish their charging equipment, hours, custom rules, and the payment methods they accept (Venmo, Zelle, Cash App, PayPal, Apple Pay, or Google Pay). To help Drivers decide before requesting a connection, the list of accepted payment methods is visible on the listing, but the Host's actual handle, username, phone number, email, or QR code for each method is hidden from Drivers until the Host confirms the booking. The exact street address is likewise hidden until confirmation. Hosts are solely responsible for the accuracy of their listing, the legality of operating a residential charger, the safety of their property, and any taxes due on income received from charging sessions.

5b. Host availability & scheduling

Hosts control when their driveway is bookable through their availability schedule. If a Host publishes specific allowed hours or blackout windows, Drivers will only be able to request connections during the hours the Host has affirmatively allowed; any time the Host has not allowed (or has marked as a blackout) is hidden from the Driver's time picker. If a Host has not configured any schedule, their driveway is treated as available 24/7 until they say otherwise. For same-day bookings, time slots remain selectable up until 11:59 PM of that day in the Driver's local time zone.

To keep scheduling unambiguous, all booking times are displayed in a single time zone synchronized with the Driver's current device location. Repleo requires device location services to be enabled in order to request or schedule a connection; if location is not available, the time picker is disabled and no booking can be created. Hosts always see the same booking time in their own local time zone.

6. Reviews & ratings

To help Drivers judge fit before sending a request, a Host's average star rating and recent written reviews are visible on the listing page even to Drivers who have not yet booked. Identifying information about a reviewer is limited to first name and last initial (e.g., "Mark S."), a profile photo or initials avatar, and the make/model of the EV the Driver brought to that session. Full last names, exact addresses, contact details, and payment handles are never displayed in reviews.

After a session ends, both parties may leave a 1–5 star review and short note. Reviews must reflect a real interaction. You can be removed from Repleo for fraudulent, retaliatory, or harassing reviews. Your trust profile is visible only while you maintain an active subscription; if your subscription lapses, your ratings are hidden until you reactivate.

6a. Session lifecycle, geolocation & check-in photos

Once a Host confirms a booking, the session moves through these states: confirmed on my wayplugged incompleted. During an active booking the Driver's device may share live location with Repleo so that (a) the Host can see an accurate ETA, and (b) Repleo can verify the Driver is physically at the property before allowing the session to begin. Location data tied to an individual booking is only retained while needed to operate that booking and the surrounding dispute window.

The in-app messaging thread for a given booking is only surfaced to the Driver when they actively open that booking or visit their past connections. Selecting "Message Host" while scheduling a new session starts a fresh conversation tied to the new request and does not expose unrelated past sessions.

At plug-in and at the end of the session, both parties may be asked to upload a short check-in photo (for example, of the cable connected to the vehicle and of the disconnected state at session end). Check-in photos are stored privately and are visible only to the two participants of that booking and only while the Driver holds an active Driver Pass; they are used solely to resolve disputes about whether a session occurred and in what condition the property was left.

6b. Cancellations & no-shows

Either party may cancel a confirmed booking before it begins and will be asked to select a reason. If the Driver does not arrive within the grace period after the scheduled start time, Repleo may automatically cancel the booking as a no-show. Repeated no-shows, last-minute cancellations, or other patterns of unreliable behavior may result in account suspension. Repleo does not charge a cancellation fee and does not move money between Driver and Host for cancelled or no-show sessions.

7. Liability disclaimer

REPLEO STRICTLY PROVIDES DIRECTORY MATCHING AND SCHEDULING SERVICES. REPLEO IS NOT RESPONSIBLE FOR, AND EXPRESSLY DISCLAIMS ALL LIABILITY FOR: (a) THE SAFETY, CONDITION, OR LEGALITY OF ANY HOST PROPERTY OR EQUIPMENT; (b) ANY PROPERTY DAMAGE, PERSONAL INJURY, OR DEATH ARISING FROM A CHARGING SESSION OR PROPERTY VISIT; (c) ANY DISPUTE, NON-PAYMENT, OVER-PAYMENT, OR FRAUD RELATING TO ELECTRICITY OR UTILITY PAYMENTS BETWEEN DRIVERS AND HOSTS, WHICH ARE SETTLED OFF-PLATFORM USING THE HOST'S CHOSEN HANDLE; (d) ANY THEFT, TRESPASS, ASSAULT, OR OTHER INTENTIONAL OR NEGLIGENT ACT BY A USER; (e) ELECTRICAL FAULTS, FIRE, OR DAMAGE TO A VEHICLE OR PROPERTY; OR (f) ANY TAXES, INSURANCE OBLIGATIONS, ZONING, OR OTHER LEGAL CONSEQUENCES OF OPERATING OR USING A RESIDENTIAL CHARGER. USE OF REPLEO IS AT YOUR OWN RISK.

8. Acceptable use

No fraud, harassment, hate speech, off-platform fee circumvention, fake listings, impersonation, scraping, automated access, or attempts to bypass identity or payment safeguards. Repleo may suspend or terminate any account at any time, with or without notice, for any reason.

9. Indemnification

You agree to indemnify and hold Repleo, its officers, employees, and agents harmless from any claim arising from your use of Repleo or any interaction with another user.

10. Governing law & arbitration

Repleo is available throughout the United States, including all 50 states, the District of Columbia, and U.S. territories (Puerto Rico, U.S. Virgin Islands, Guam, American Samoa, and the Northern Mariana Islands). These Terms are governed by the Federal Arbitration Act and, on matters not preempted, the laws of the State of California (the home jurisdiction of Repleo's operating entity), without regard to its conflict-of-laws rules, and without depriving you of the protection of any non-waivable consumer-protection law of the U.S. state or territory in which you reside. Any dispute will be resolved by binding individual arbitration administered by a recognized U.S. arbitration provider (such as JAMS or AAA) and may be held in your home county by phone, videoconference, or in person at your election under the provider's consumer rules; either party may instead pursue claims in small-claims court in your home county. You waive any right to a class action.

11. Changes

We may update these Terms; continued use after an update constitutes acceptance. We will notify you via email or in-app before material changes take effect.

Section 8: Platform Status – Software Marketplace Only

8.1 No Utility Status: Repleo LLC is a technology platform that provides a peer-to-peer marketplace matching electric vehicle drivers with private property owners ("Hosts") offering access to electric vehicle supply equipment (EVSE). Repleo LLC does not own, operate, maintain, or control any charging stations or physical real estate listed on the platform.

8.2 Electricity Allocation: Repleo LLC does not generate, distribute, transmit, retail, or resell electricity. Any fee paid by a driver through the platform is for the temporary license to access the Host's private driveway and utilize the Host's physical hardware.

8.3 Session Access Fee — Not a Sale of Electricity: The flat session access fee a Driver pays a Host is expressly consideration for (i) a limited, revocable license to park on the Host's private residential driveway for the reserved time window, and (ii) permissive courtesy use of the Host's already-installed, behind-the-meter electric vehicle supply equipment (EVSE). It is not a metered, per-kilowatt-hour sale of electricity, is not a retail or wholesale sale of electric energy, and is not a public-utility service. Hosts must set a single flat session price and may not advertise, quote, meter, invoice, or collect on a per-kWh or per-minute energy-consumption basis on the platform. Any Host that solicits or accepts payment on a per-kWh basis, or that operates in a manner that would constitute a retail sale of electricity under the law of the state or territory where the property is located, is in material breach of these Terms and subject to immediate removal.

8.4 No Money Transmission, No Escrow: Repleo does not receive, hold, transmit, or disburse any Driver-to-Host session payment, and does not act as a money transmitter, payment processor, escrow agent, agent for the collection of electricity charges, or seller of electricity in any U.S. state or territory. The Driver Pass subscription is the only payment Repleo collects, and is consideration solely for access to the software directory.

Section 9: Host Regulatory and Utility Compliance Obligations

9.1 Utility Tariff Responsibility: The Host acknowledges and explicitly agrees that they are solely responsible for ensuring that listing their charging station on Repleo does not violate any local utility rules, ordinances, codes, or private residential tariff agreements (including but not limited to terms set by Southern California Edison, Pacific Gas & Electric, or San Diego Gas & Electric).

9.2 Electrical and Building Codes: The Host warrants that all charging equipment, wiring, and dedicated circuits listed on the platform strictly comply with the National Electrical Code (NEC), local municipal building codes, and state safety regulations. Host agrees that any modification, installation, or heavy load usage of their electrical infrastructure is undertaken entirely at their own risk.

9.3 Compliance with Local Law: Host certifies that they are the lawful owner or authorized tenant of the property and that hosting guest vehicles does not violate local zoning bylaws, homeowner association (HOA) rules, or land-use restrictions.

Section 10: Assumption of Risk and Indemnification

10.1 Interruption of Utility Service: Repleo LLC shall not be held liable under any circumstances for any fines, surcharges, penalties, rate hikes, equipment failures, property damage, fire, grid blackouts, or termination of utility services incurred by the Host or the Driver resulting from the use of the platform.

10.2 Indemnification: To the maximum extent permitted by applicable law, the Host agrees to defend, indemnify, and hold entirely harmless Repleo LLC, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees and legal costs) arising out of or in any way connected to the Host's breach of utility tariffs, municipal codes, or electrical system malfunctions.
